  1. Where to start? LLC Help

    So I'm just out of college, I've been doing audio production for years, got a couple placements in some major films and working with new breaking artists into the industry waiting and working towards my big break.. I also run a DJ company, and I'm planning a huge movement that will bring in so much income for us. Just getting started and no one has really been able to give me a clear view on what an LLC is and what I could do with it. If someone could please explain to me I would greatly appreciate it.

    A limited liability company (LLC) is a hybrid corporation and partnership popular since creation because it is easy to form and manage from a tax standpoint, flexible and still protects the owner from some liability while allowing pass-through taxation (you are not double taxed by the IRS). Transferable: I have seen single owner or partnership businesses formed as LLC to later change to S Corp or C Corp relatively easy if needed - will just cost some money for the attorneys.

    LLCs are a good option for many entities and probably yours. Depending on your company goals, however so you might check with a business law or securities attorney.

    It will all depend, too, on your vision for your company and where you see yourself going. And, what is it you want this vehicle (your business) to do for you.

    My best advice would be to connect with a CPA that you know, like and trust or who is recommended to you by someone who you know,like and trust. Look for someone who has experience working with small business and entrepreneurs. They'll best help you on how to structure your business. And, of course, an attorney will help you in finalizing your official structure.

    i am totally agree with u maria .....and one question from me i know u are Professionals .....actually i am working with printing company as a BDO .....just join forums ....i need to know a good material of discussions and promotions related to printing .....is there any topic here related to printing products .......

    If you own your own business or are thinking of starting one, the way the business is structured plays an invaluable role in how profitable and successful you will be. One alternative is by forming a Limited Liability Company or LLC. A business structured as an LLC can be a big step toward a successful business enterprise.

    What is an LLC you ask? Well, simply put is a type of hybrid business structure that provides the limited liability features of a corporation with the tax efficiencies and operational flexibility of a partnership. They are a popular choice with single entrepreneurs that want to incorporate in order to protect their personal assets and secure additional loans if needed. Most business experts will be the first to tell that they are the easiest and least expensive form of ownership to organize.

    LLC's are similar to a corporation in that they have one or more owners and protect the owners' personal assets from business debts and possible lawsuits. They cannot, however, issue shares of stock like a corporation can. Forming one is not a difficult task either but there are a few set regulations that must be followed. Here is how you can start your own LLC:

    * Before you begin, you should get in contact with the LLC office within the state your business is based in. You can find it online under the website for the Secretary of State for your state since it normally is part of their office.
    * Find and decide on a creative business name but make sure it complies with all of the LLC regulations of your state. It must end with a designator which indicates it is an LLC such as "Limited Liability Company," "Ltd. Liability Co.," "Limited Company," "LLC" or "L.L.C." You cannot use a name that is already on file with the LLC office for another business. The LLC office can help you with any questions you have concerning all of the regulations involved with choosing a business name in your state.
    * Your name should not violate another company's trademark. The U.S. Patent and Trademark Office can help you see if your proposed business name violates any trademark infringements of another company. You can be sued by the trademark owner if you use a previously copyrighted name that is registered with the federal government.
    * Next, you'll be filing the articles of organization and paying all of the required fees with the LLC office. These articles of organization are nothing but a simple form provided by the filing office at the LLC. You will also be listing a registered agent who would receive all legal papers if there is ever a lawsuit brought up on you in regards to your LLC.

  9. Trade Names

    I am about to establish an LLC in Maryland to open a retail space and also to provide planning/consultation services. I have done all my homework with regard to reading up on the pros/cons of an LLC. One thing continues to confuse me -- do I need a Trade Name. I was told by Maryland's Department of Assessments and Taxation that if you have an LLC, you don't need to register a Trade Name. But the gentleman hastily rushed me off the phone and I couldn't really ascertain the difference between having the LLC name vs. a Trade Name. I just want to ensure that no one else can use my LLC's name as a Trade Name if they are doing a different business structure, say a corporation.

    Your counsel would be much appreciated.
